Membership, Meetings and Directors' Duties

Company governance allocates power among members, the board and officers through legislation and internal rules. Membership rights, meeting procedure and voting must be connected to the decision being challenged. Directors then face overlapping duties of care and diligence, good faith in the company's interests, proper purpose, and restrictions on misuse of position or information.

Conflict and disclosure rules add another layer. A strong problem answer identifies the office, the power exercised, the duty source, the triggering facts and any approval or defence separately.

Q [8 marks]. These marks are not a university assessment scheme; they define the expected depth of this original duties problem. A director uses confidential board papers to acquire property the company is considering and proposes leasing it back at a profit. Analyse the duties.

  • +2Identify the director's office and separate each statutory and general-law duty engaged.
  • +2Apply good faith and proper purpose to the acquisition and proposed lease.
  • +2Apply misuse of position and information and explain the personal advantage or company detriment.
  • +2Address conflict disclosure, authorisation and possible consequences without assuming approval cures every breach.
The confidential source, diversion of an opportunity under active company consideration and proposed personal profit engage several duties. Each requires its own rule and application. Disclosure and authorisation depend on the correct process and do not automatically eliminate misuse, improper purpose or other consequences.
Sia tip — Use a duty matrix with one row per duty and columns for source, fact, response and consequence.

FAQ

Membership, Meetings and Directors' Duties FAQ

Do directors owe every duty directly to shareholders?

The starting point is the company and the statutory or general-law source of the particular duty. Avoid replacing the company with its members. Specific circumstances may create other obligations, but they require their own legal basis.

Does a good motive defeat improper purpose?

Not automatically. Good faith and proper purpose are related but distinct inquiries. Identify the power, the purpose for which it was conferred and the substantial purpose for which it was actually exercised.

Can disclosure cure a conflict?

Disclosure is important, but the answer depends on the duty, the governing rule and the approval pathway. Do not treat disclosure as a universal defence to misuse, improper purpose or profit obtained through office.

How should I reconstruct a board decision?

Identify the power exercised, who participated and the company's circumstances. Use the agenda, board papers, forecasts, minutes, interest declarations, expert advice and later communications to establish information, inquiry, purpose and conflict. Run care, company-interest, purpose, position, information and disclosure issues as separate tests even where they share evidence.

Then examine any approval chronologically: what was disclosed, to whom, before which vote and under what resolution rule. Finish with consequences supported by the particular breach instead of listing every possible civil or criminal response.

Study strategy

Exam move

Prepare a directors' duty matrix and refuse to write a generic breach paragraph. For each duty, record the source, protected interest, required state or standard, key factual triggers, any defence or approval, and consequence. In meeting problems, first identify whether the decision belongs to members or directors and whether procedural defects affect the result.

Practise one scenario by changing the director's disclosure and the company's approval; explain which issues change and which remain. Reconstruct important board decisions from the documents a lawyer would request: agenda, board paper, forecasts, minutes, interest declarations, expert advice and later emails.

Use those records to test information, inquiry, purpose, conflict and benefit rather than judging only from the commercial result. For care and diligence, describe the reasonable standard in the director's position and the company's circumstances. For the loyalty-related duties, identify the company's interest, the power or information used, and any advantage or detriment.

Do not treat a profitable outcome as a universal defence. For meetings, work through decision-maker, notice, quorum, voting entitlement, resolution type and record before counting support. Keep approval analysis chronological: what was disclosed before the vote, who voted and what legal effect could approval have?

Finish practice with a remedy and consequence column that distinguishes compensation, profit-based relief, injunction, disqualification and any criminal question. Select consequences only after the required breach and fault basis is established.
