Vitiating Factors and Genuine Consent

A formed contract may still be affected by a defect in consent or by conduct surrounding its creation. This chapter compares misrepresentation, mistake, duress, undue influence and unconscionable dealing. Each doctrine protects a different interest and uses a different trigger, so labels such as pressure or unfairness are only starting points.

The answer must identify the operative conduct, the claimant's condition or reliance, the other party's knowledge, any evidential presumption, and the remedy or bar that follows.

Choose the consent doctrine that fits the facts

Q [8 marks]. The weighting in this exercise is not an official university assessment scheme; it is a study pacing device. An owner urgently needs cash, depends on a trusted adviser, and signs a sale at a serious undervalue after the adviser threatens to withdraw essential help. Compare the available doctrines.

Consent matrix. Each row links a distinct defect in agreement to the factual focus that must be proved before a remedy is considered.
  • +2Separate the threat, relationship of influence and possible special disadvantage.
  • +2Test duress by identifying illegitimate pressure and causative effect.
  • +2Test undue influence through the relationship, ascendancy and independent judgment.
  • +2Test unconscionable dealing through disadvantage, knowledge and exploitation, then address remedy and bars.
The threat may support duress, the dependency may support undue influence, and urgent financial need combined with knowing exploitation may support unconscionable dealing. Undervalue is relevant evidence but does not replace the elements. Each doctrine should be concluded separately before rescission and possible bars are considered.
Sia tip — Create one column per doctrine and place each fact only where it proves a required element.
Glossary

Key terms

Improper influence that prevents a party from exercising an independent judgment.
Unconscionable dealing
Knowing exploitation of another party's special disadvantage.

FAQ

Vitiating Factors and Genuine Consent FAQ

Is a bad bargain automatically unconscionable?

No. Serious undervalue may be evidence, but the doctrine asks whether one party suffered a special disadvantage, the stronger party knew or ought to have known of it, and the stronger party exploited that condition.

Can several vitiating factors apply at once?

Yes. A relationship, threat and vulnerability may support different doctrines. Plead or analyse them separately because their elements, presumptions and remedies are not interchangeable, even when they arise from the same transaction.

What should follow a finding of defective consent?

Discuss the particular remedy and any bars. Rescission may be affected by affirmation, delay, third-party rights or inability to restore the parties, while statutory or equitable alternatives may have different consequences.

Which facts distinguish pressure from influence or exploitation?

Duress focuses on illegitimate pressure and its causal effect. Undue influence examines whether a relationship or conduct impaired independent judgment, including any applicable evidential presumption. Unconscionable dealing requires a special disadvantage, knowledge and exploitation.

Record the exact threat, dependency, vulnerability, advice, bargaining conduct and benefit obtained, then place each fact under the doctrine where it proves an element. Serious undervalue may support an inference but does not replace the legal test. Parallel analysis is appropriate where facts overlap, provided each route reaches its own conclusion and remedy.

Study strategy

Exam move

Make a comparison matrix with rows for trigger, mental or relational condition, defendant knowledge, causation, presumption, remedy and bars. Fill it from your authorities, then test mixed scenarios where two doctrines are plausible. In each answer, resist adjectives until the elements are stated: facts are not legally unconscionable merely because they look harsh.

End practice answers by checking affirmation, delay and restoration because many otherwise strong responses stop once a vitiating factor is identified. For misrepresentation practice, extract the exact statement and test falsity, fact versus opinion, inducement and available response in that order. For mistake, name the recognised category before discussing fairness.

For duress, identify the pressure, why it may be illegitimate and how it affected the transaction. For undue influence, map the relationship and evidence of independent judgment. For unconscionable dealing, isolate the alleged special disadvantage, the stronger party's knowledge and the conduct said to exploit it. Then compare the doctrines rather than merging them.

Keep a remedy timeline showing discovery, any affirmation, delay, changes in property and third-party involvement. A transaction that was initially vulnerable may become difficult to rescind because of later events. In an exam, use parallel headings when two doctrines are genuinely available and explain why the same fact performs different work under each.

That method earns more than declaring that several labels apply without completing any one legal test.
