Business Structures and Companies

Choosing a business structure changes legal personality, control, ownership of assets, exposure to liabilities and continuity. A sole trader is the individual principal of the business. A partnership requires people to operate a profit-seeking enterprise together. A joint venture usually brings independent participants together for a defined project and product rather than one shared enterprise.

Labels chosen by parties do not displace the substance of their relationship.

A trust separates legal control of trust property by the trustee from the beneficiaries' interests under the trust. An association brings persons together for a social or cultural purpose without distributing profits. Each form raises different questions about who contracts, who owns assets and who is responsible to outsiders.

Compare structures against the client's actual objectives rather than ranking one form as universally best.

A registered company is a legal person separate from its members and managers. It can acquire assets, make contracts and litigate as a named party. Separate personality means the company's obligations are not automatically the personal obligations of shareholders or directors.

Limited liability is related but distinct: it describes the exposure attached to shareholding and does not erase personal guarantees, direct personal wrongdoing or statutory duties.

Company structure analysis should identify the company type, members, directors, officers and any person exercising practical control.

The company acts through human decision makers, but their acts may be attributed to the company through legal rules. A shareholder's economic interest does not make the shareholder owner of each company asset. Likewise, a director manages within legal powers but does not personally own company property.

ASIC administers and enforces areas of corporations and financial-services regulation.

Its functions include supporting financial-system performance, promoting informed participation, administering and enforcing relevant law and maintaining public information. Its powers include investigation, civil and criminal enforcement pathways, registration, licensing, rule making and relief.

Distinguish ASIC's regulatory function from a private party's cause of action.

A good structure comparison uses stable headings: formation, decision authority, separate personality, asset ownership, liability, continuity, finance, regulation and exit. Not every heading can be resolved from a short scenario. State what additional fact or specialist advice is required, especially for taxation.

The legal analysis should show consequences of the selected relationship rather than merely define five possible forms.

Family retailer or separate company

Q [8 marks]. Two siblings plan a retail venture. They will contribute equally, manage together and sign a long lease. They are deciding between operating as partners and registering a company. Identify the principal legal comparison points. This is AskSia-authored practice, not a University question or marking scheme.

  • 1Test whether the siblings plan to operate a shared profit-seeking enterprise rather than merely cooperate.
  • 2Compare who would contract for the lease and own business assets under each form.
  • 2Explain separate company personality and distinguish it from limited liability.
  • 2Compare management, continuity and exit rather than focusing only on liability.
  • 1Identify guarantees, tax and financing as matters requiring fuller facts or advice.
Their proposed joint management and profit-making activity can fit the partnership definition if no company is interposed. In that form, the legal consequences attach to the partners and partnership relationship. Registration instead creates a separate person that can hold the lease and assets and incur obligations. Shareholder limited liability does not prevent a landlord from requesting personal guarantees and does not excuse personal wrongdoing. Control rules, continuity when one sibling leaves, finance and exit should be compared alongside liability, with taxation and documentation assessed on complete facts.
Sia tip — Compare structures under the same headings and name the person who owns, contracts, controls and bears each risk.

FAQ

Business Structures and Companies FAQ

Does sharing profit always create a partnership?

Profit orientation is important, but the full relationship must involve carrying on business in common. Examine decision making, shared activities, contracts and the substance of the arrangement. A loan return linked to profits or a project collaboration does not automatically settle partnership status. Labels help explain intention but do not control.

Is a company the same as its shareholders?

No. Registration creates a separate legal person that owns its assets and incurs its obligations. Shareholders hold interests in the company, not direct ownership of each company asset. Directors manage through corporate powers and duties. Particular guarantees or personal wrongdoing can still create individual exposure through separate routes.

How is limited liability different from separate personality?

Separate personality identifies the company as the relevant legal person. Limited liability describes the normal limit on members' exposure associated with their shares. Keeping them distinct prevents the mistaken claim that directors can never be liable or that a shareholder owns company property merely because the company is closely held.

What role does ASIC play?

ASIC administers and enforces significant areas of company and financial-services law, maintains registers and public information, investigates suspected contraventions and can pursue relevant enforcement pathways. Its involvement does not itself resolve private contractual or member disputes. Identify the statutory function and the separate remedy sought by an affected party.

Study strategy

Exam move

Make a structure grid with forms down the side and formation, legal person, ownership, control, liability, continuity, regulation and exit across the top. Fill only propositions you can explain, then use gaps to direct revision. Take one venture and analyse it first as a partnership and then as a company, tracking who signs the contract and owns the asset.

Explain separate personality without using the phrase limited liability, then explain limited liability without using separate personality; this forces the distinction. Add ASIC on a separate regulator card listing function, power and public-information role.

For problem answers, start with the relationship evidenced by conduct, not the preferred business label, and end by identifying the decision fact that would most change the recommendation.
