  • Joint venture and subsidiary structures
  • Arbitration agreement and consent
  • Seat, rules, tribunal and governing law
  • Award recognition and enforcement
  • WTO and GATT state-to-state pathways
In the full guide: 3 pages · 2 practice questions · 1 figure

It follows an international transaction through the public and private rules that make cross-border trade possible: GATT and WTO structures, anti-bribery law, modern-slavery reporting, CISG, UNIDROIT Principles, Incoterms 2020, carriage, documentary credits, arbitration, investment arrangements and market access. The course is legal and qualitative rather than mathematical.

Its recurring challenge is selecting the correct instrument before applying a rule. CISG governs qualifying international sales but generally does not decide title or validity. Incoterms allocate delivery, cost and risk but do not replace the sale contract. UCP 600 organises documentary-credit practice while the underlying goods dispute remains separate.

The official Group F assessment table lists reflective posts worth 20%, group exercises worth 20%, a zero-weight early feedback quiz and a final assignment and research essay worth 60%. The final assignment combines an integrated legal problem with a research question, so revision must connect the topics rather than treat them as isolated definitions. The available unit materials also include a presentation rubric.

It rewards a purposeful opening, logical sequence, supported persuasion, audience engagement, controlled delivery and visual aids that clarify rather than distract. No past paper or model final answer appears in the captured materials. This guide therefore uses original problems to practise the published question types without reproducing any assessment stem.

Choose an Incoterm for a container shipment

Q [4 marks]. A seller must pay carriage and arrange broad insurance to an inland destination, but the buyer should carry risk after terminal handover. Which Incoterm best fits, and why? This mark allocation is our own revision weighting, not an official University assessment scheme.
Incoterms obligation trackAn E-to-D track shows rising seller obligations and highlights the separate cost and risk points in C terms.EBuyer heavyFCarrier handoverCCost risk splitDSeller heavySeller obligation increases
Seller obligations generally rise from E to D. The highlighted C group is different because seller-paid carriage continues beyond the earlier point where transport risk transfers to the buyer.
  • 1Identify container handover to the first carrier as the operational delivery point.
  • 1Choose CIP because the seller pays carriage and obtains insurance to destination.
  • 1State that risk passes at first-carrier delivery rather than at the destination.
  • 1Name the exact place and Incoterms 2020 version in the contract.
CIP to the precisely named inland destination best matches the requested cost and insurance allocation. Risk still transfers when the goods are handed to the first carrier, so the buyer carries transport risk after that point while the seller pays carriage and procures the required cover.
Sia tip — Write the cost destination and risk point in separate sentences whenever you analyse a C term.
Glossary

The offence committed by the person who offers, promises or gives an improper advantage to a foreign public official.
Place of business
The establishment connecting a party and transaction to the CISG application analysis.

A standard ICC trade rule allocating delivery, cost, risk and specified obligations between seller and buyer.
Autonomy principle
The separation of a documentary credit from the underlying sale contract and goods dispute.
Arbitration agreement

FAQ

LAWS6059 FAQ

How is the unit assessed?

The official Group F table allocates 20% to Discussion Board Reflective Posts, 20% to Group Exercises, 0% to an Early Feedback Task and 60% to the Final Assignment and Research Essay. The weighted rows total 100%, and the final task combines a legal problem with research writing.

How is the final 60% assessed?

The official Semester 2 Group F assessment table lists a final assignment and research essay worth 60% rather than a final examination. The available teaching materials describe a problem component and one research question. Check the current Canvas task page before planning submission.

What makes the unit difficult?

The challenge is selecting among overlapping legal instruments and keeping their functions distinct. A good answer must decide whether CISG applies, identify the operative contract terms, allocate delivery risk, preserve remedies, separate document payment from goods performance and choose the correct dispute pathway.

How should I approach a CISG problem?

Start with scope and party autonomy, then move through formation, operative terms, performance, examination and notice, breach classification and compatible remedies. Use the facts at every stage. Do not begin with a remedy before proving the Convention applies and the buyer preserved its rights.

How do I choose an Incoterm?

Map the transport mode, exact delivery point, risk transfer, carriage payer, loading or unloading, insurance, export clearance and import clearance. State the named place and Incoterms 2020 version. For C terms, write cost and risk in separate sentences because they move at different points.

Are past papers available in the course files?

No past paper, practice final or model final answer appears in the available unit materials. The useful assessment evidence consists of group-exercise instructions, a presentation rubric and the published final-assignment format. This guide uses new scenarios based on those question types.

What does the presentation rubric reward?

The captured rubric rewards a clear opening, logical sequence and conclusion, a purposeful and persuasive supported argument, audience engagement, controlled verbal and non-verbal delivery and visual aids that enhance the presentation rather than distract from it.

Chapter questions

Questions students ask in each LAWS6059 chapter

How do trade rules and business ethics connect?
Trade rules create a predictable market setting, while anti-bribery and modern-slavery laws constrain how a company competes and manages its supply chain. A strong answer names the public or domestic layer, applies its conditions and explains how the rule changes transaction planning, records or reporting. Chapter 01 · Trade Governance, Ethics and Modern Slavery
Do goods have to cross a border for CISG to apply?
Not necessarily. The course materials focus on the parties' relevant places of business rather than physical movement of the goods. A sale can be international for Article 1 even when the goods remain in one state, provided the legal connection and disclosure conditions are met. Chapter 02 · CISG Scope, Application and Exclusions
When does an email acceptance take effect?
The course materials use a receipt rule: delivery to the relevant electronic mailbox can count even if a person reads the message later. Put dispatch and delivery times on the timeline, then check any agreed communication rule or technical failure. Chapter 03 · CISG Formation and Conflicting Terms
What does Article 35 require?
It begins with the contract's quantity, quality, description and packaging. Default tests can add ordinary use, a disclosed particular purpose, qualities of a sample or model and packaging adequate to preserve the goods. Select the test raised by the facts rather than listing every possibility. Chapter 04 · CISG Performance, Conformity and Notice
When is a breach fundamental?
Article 25 asks whether the breach substantially deprives the innocent party of what it was entitled to expect, subject to foreseeability. Explain the contractual expectation, practical detriment and whether cure or another remedy still delivers the bargain. Chapter 05 · CISG Remedies, Breach and Avoidance
How are the Principles different from CISG?
CISG is a convention for qualifying international sales of goods. UNIDROIT Principles address international commercial contracts more broadly and depend on party choice, a reference to general principles, private-international-law treatment or use as an interpretive source. Chapter 06 · UNIDROIT Principles and Changed Circumstances
What do Incoterms decide?
They allocate delivery, costs, risk and specified obligations such as carriage, insurance and customs. They do not decide every contract issue, including formation, title, price and general remedies. Treat the selected rule as a delivery module inside a larger sale contract. Chapter 07 · Incoterms 2020: Risk, Cost and Delivery
Do banks inspect the goods?
No. The documentary-credit process centres on the credit and the presented documents. A buyer's ordinary quality complaint belongs to the underlying sale relationship. Only a separately established fraud issue can potentially disturb the autonomy analysis. Chapter 08 · Documentary Credits and Trade Finance
What should an arbitration clause specify?
It should clearly record consent and define scope, seat, rules or institution, tribunal appointment and language. The contract's governing law, the arbitration agreement's law and the procedural law may require separate attention. Incomplete drafting can create a jurisdiction dispute before the merits. Chapter 09 · Arbitration, WTO and Market Access
Study strategy

How to prepare for the assessments

Revise LAWS6059 as one transaction rather than nine disconnected topics. Begin each session by drawing the legal layers: public trade rule, domestic implementation, contract, uniform commercial instrument, payment mechanism and forum. For CISG, practise the same decision order every time: application, formation, terms, performance, examination and notice, breach and remedy.

For Incoterms, maintain a table with mode, delivery, risk, cost, insurance and customs columns, and write the named place beside every rule. For UCP 600, keep the documentary-credit relationships separate from the sale and goods dispute. Each week, write one short issue paragraph and one counterargument paragraph from an original scenario.

For the group exercise, rehearse a proposition-led opening and a conclusion that answers it. For the final assignment, outline Part A by transaction stage and Part B by thesis claims rather than by sources. Verify article references, quotations and dates against the original authority.

The official Group F due date is 16 November 2026, with a later closing date, so plan to submit by the due date and confirm the live Canvas page.
