25858 Chap.2 Professional Integrity and the CFA Standards
Professional Integrity and the CFA Standards
Professional finance relies on delegated trust. Clients, employers and markets cannot inspect every judgement, so codes specify competence, honesty, independence, loyalty and market conduct. Start by naming the professional role and beneficiary; the same relationship can create different duties for an adviser, analyst, director or trader.
The CFA standards should be applied to facts, not recited as headings.
Identify the actor, information, benefit, timing, client or employer interest and proposed action. Then state the standard's practical demand: abstain, disclose, obtain consent, preserve records, communicate limits or escalate.
Material nonpublic information requires two distinct judgements. Materiality asks whether a reasonable investor would view the information as important.
Nonpublic status asks whether it has been disseminated broadly enough for market access. Rumour, selective disclosure and mosaic analysis require careful source tracing.
Market manipulation can involve misleading information or transactions designed to distort price or volume. A genuine trade with a promotional narrative may still need separate analysis.
Ask whether the conduct creates a false market signal and whether the professional knew or should have known its effect.
Conflicts of interest include gifts, outside compensation, fee structures, personal holdings and institutional pressure. Disclosure is necessary where a reasonable person would question independence, but disclosure is not a universal cure.
Some conflicts require avoidance, consent, information barriers or reassignment.
Duties to clients and employers can conflict. Loyalty to an employer does not authorise client harm or conceal misconduct. Whistleblowing, escalation and record preservation depend on facts and current rules.
Distinguish internal disagreement from evidence of a serious breach before deciding the pathway.
Worked analyst case: hospitality and issuer access coincide with unreleased performance information. Separate independence from information status.
Refuse or manage the benefit, stop trading and recommendation activity where required, preserve the information boundary and escalate through authorised compliance channels.
For Quiz 1 preparation, practise classification plus action. Given a changed fact, identify the standard, explain why it applies, reject the most plausible distractor and state the next compliant step.
Current CFA wording remains authoritative; this guide teaches reasoning and does not reproduce quiz items.
Fair dealing concerns timing and opportunity across clients. A recommendation process should not selectively advantage preferred accounts unless a disclosed service structure legitimately explains it.
Record dissemination, allocation and execution so the professional can demonstrate consistent treatment rather than relying on memory after a complaint.
Performance communication requires complete, fair presentation. A selective period, survivorship set or benchmark can mislead without an arithmetical error.
Ask which accounts, fees, dates and risk are included, then ensure a reasonable audience can distinguish actual from simulated or hypothetical results.
Record keeping supports accountability. Preserve analysis inputs, approvals, conflict decisions, client instructions and communications for the required period and system.
A correct decision without a trace may be impossible to defend or review; a record does not cure misconduct but lets challenge operate.
Suitability and fair dealing require client and product evidence. Record objective, constraints, knowledge, risk tolerance, time horizon and alternatives, then show why the action fits.
A product may be suitable for one client and not another; a generally attractive return does not answer the entrusted decision.
Practise changing one boundary at a time: information becomes public, a gift is reimbursed, a client instruction changes, or a benchmark is corrected. State which standard issue disappears and which survives.
This prevents a single remedial step from being treated as a universal cure.
For each professional-conduct response, add a supervision line: who reviews the action, what record they inspect and what escalation follows a suspected breach. This separates an individual's correct choice from the institutional control that makes similar conduct dependable across clients and time.

Does disclosure cure every conflict?
No. Some conflicts require avoidance, consent, barriers or reassignment.
Is current CFA wording reproduced?
No. Check the authoritative current standards.
How should I practise?
Classify the conduct, justify the standard and state the next controlled action.
