Securitisation and the Insolvency-Remote SPV

Securitisation separates a pool of receivables from the business that created them and uses the pool to support securities sold to investors.

This chapter draws the basic flow from originator to SPV to investors, locates the legal work at the transfer and at the vehicle, explains why the SPV must be insolvency-remote and why the form of assignment matters, and prepares the Class 7 questions on originator and investor benefits, structures and APRA's role under the current prudential standard.

The chapter keeps the commercial story short and spends its effort on the legal pressure points. The originator wants funding or risk transfer; investors want exposure to a pool of receivables rather than to the originator; and the structure succeeds only if the pool is genuinely separated. That puts weight on the form of the transfer, legal or equitable, and on keeping the SPV free of other creditors and activities.

The regulatory question then asks why APRA is involved at all, which is best answered from the current version of its prudential standard on securitisation.

Trace the cashflows in a receivables securitisation

Q [4 marks]. Independent AskSia practice weighting, not a University marking scheme. A lender wants to fund itself by securitising a pool of car loans. Describe the flow of assets and money and identify the two legal pressure points.

The originator assigns the receivables to the SPV, which pays for them by issuing notes; collections from the pool service the notes. The legal risks sit at the transfer and in keeping the SPV remote from the originator's insolvency.

FAQ

Securitisation and the Insolvency-Remote SPV FAQ

Why must a securitisation SPV be insolvency-remote?

Investors price the notes on the receivables alone. If the originator's liquidator could claim the pool, or the SPV itself could fail because of other creditors, the investors' protection would disappear, so the structure isolates the pool from both risks.

Why does the form of assignment matter?

The fifth Class 7 question asks whether it matters that receivables pass by legal or equitable assignment. It matters because the transfer is the point at which the pool leaves the originator, so its form affects how secure the separation is; test the details against the Chapter 8 reading.

Which APRA standard should I read for Class 7?

The Moodle page asks you to consider the up-to-date version of prudential standard APS 120. Read the current version, note its date, and use it to explain the objectives of APRA's involvement rather than relying on summaries.

What are the benefits of securitisation for an originator?

The first Class 7 question asks you to consider different types of originator, so avoid one generic list. Funding diversity, balance sheet management and risk transfer can matter differently to a bank, a finance company and a corporate, and the Chapter 8 reading lets you match each benefit to an originator type.

Why is securitisation still attractive to investors after the crisis?

The class asks you to explain continued demand despite the Global Financial Crisis. Answer with features of the structure, such as the isolation of the pool and the ranking of note classes, and with the regulatory response, rather than with general claims about market confidence.

Study strategy

Assessment move

Draw the securitisation flow and annotate the two pressure points. Build one table answering the structures, SPV and assignment questions together. Read the current APS 120 and write three sentences on its objectives, with pinpoints, so that you can contribute precisely on the regulatory question.

Draft a one-paragraph answer on legal and equitable assignment that names the risk the form of transfer affects and the reading that settles the detail. Then explain, in two sentences, how your preferred structure keeps the pool away from the originator's creditors.
